Terms of Service

Who you are agreeing with

Last updated: 2026-09-19. This is the first published version of these Terms. When we change them we will note here what changed.

These Terms are an agreement between you and TLVG (The Startups Generator Tel Aviv Ltd., company no. 515581627), 32 Ben Yehuda St., Tel Aviv, Israel, which operates Replaceme under licence from the owner of the Replaceme intellectual property. In these Terms, "we" and "us" mean TLVG, and "Replaceme" means the Mac app and the hosted service behind it.

You accept these Terms by creating an account or by using Replaceme. If you do not accept them, do not use it.

You must be at least 18 years old to use Replaceme.

You may point Replaceme at personal accounts and at work or shared accounts you are authorised to read and to have processed this way. If you are not sure you have that authority for a work account, get it before you turn Replaceme on. You are responsible for that judgment; we cannot make it for you.

Our handling of your data is described in the Privacy Policy, which forms part of these Terms.

The service and your licence

Replaceme is a macOS menu bar app that reads the mail, messages, notifications and calendar already on your Mac, uses AI to judge what appears to need your attention, and sends you a short brief as an iMessage.

We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use Replaceme on Macs you control, for as long as these Terms are in force. You may not copy, sell, rent, sublicense or redistribute the app, reverse-engineer it except to the extent the law says you may, remove its notices, or use it to build a competing service.

You may not use Replaceme to read or monitor another person's communications without their knowledge and a lawful basis for doing so, to break any law, or to attack, overload or probe our service or our providers' services.

Replaceme is new software and it is changing. We may add, alter or withdraw features, providers, models and limits. Where a change materially reduces what the service does, we will give reasonable notice.

Your account, permissions and responsibilities

You sign in with Google. Keep control of that Google account and of the Macs you install Replaceme on — anyone with access to either can read your briefs.

Replaceme only works if you grant it macOS permissions: Full Disk Access to read Mail, Messages and Notifications, Calendar and Contacts access if you want those, and Automation access to Messages so it can send. Granting them is your decision, and you can withdraw any of them in System Settings at any time. Doing so will stop the corresponding part of the service working.

You are responsible for giving us a correct iMessage handle. If you enter one that belongs to someone else, your briefs go to them, and we have no way to recall a sent iMessage.

You are responsible for keeping your own copies of anything you need. Replaceme is not a backup, an archive or a record-keeping system.

What Replaceme cannot promise

Read this section carefully. It describes how the service actually behaves, and the rest of this agreement is written on the basis of it.

Replaceme uses AI models to judge which messages matter. Those judgments are frequently wrong in both directions. Replaceme will miss messages that mattered and will send you messages that did not. It can summarise a message inaccurately, misattribute it, or lose the point of it. We do not promise any level of accuracy, and accuracy will change as models and settings change.

Delivery is not guaranteed. A brief only reaches you if your Mac is awake, its permissions are intact, the network is up, our server and our AI providers are working, and Apple's Messages service delivers it. Any of those can fail, silently. A successful scan is not proof that an iMessage arrived.

Silence is not information. No brief may mean nothing needed you, or it may mean a run did not happen, or ran and got it wrong. Do not read anything into silence.

Timing is not guaranteed. Runs happen on a schedule when your Mac is awake; a missed scheduled run may be made up once after your Mac wakes, or not at all.

Therefore: keep checking your own inboxes for anything that matters. Do not use Replaceme as your only way of learning about urgent, safety-critical, medical, financial, legal or time-limited matters. Do not rely on it to meet a deadline or an obligation. If the cost of missing a message is real, Replaceme is not sufficient on its own.

Services we depend on

Replaceme is built on services we do not control: Apple (macOS, Messages and iMessage delivery), Google (sign-in), Supabase (sign-in and database), Railway (server hosting), TypeSafe (the Jev classification model), and OpenRouter together with the model providers it routes to. Sentry is used for crash and error reporting.

If one of those changes its behaviour, its pricing, its terms or its availability, or stops serving us, Replaceme may degrade or stop working, possibly without notice. We may replace a provider or a model at any time. We are not liable for their acts or omissions, and your use of Apple's and Google's services remains subject to their own terms.

The Privacy Policy sets out what each of them receives and how long anything is kept. In short: we do not store your message content, and the operational records we do keep are deleted after 14 days.

The free plan

Replaceme is currently offered free of charge. The free plan runs one scheduled check each day at 08:00 plus up to two checks you start yourself, and delivers at most three briefs a day. Your Mac must be awake. A missed scheduled check may run once after your Mac wakes.

Because it is free, you owe us nothing and we owe you no paid-service commitment. We apply per-account usage and cost limits, and we may adjust them, to keep the service viable for everyone.

We may introduce paid plans later, change what the free plan includes, or stop offering it. We will give reasonable notice before reducing what a free account gets. Nothing in these Terms obliges us to keep Replaceme free, or to keep offering it at all.

Content and ownership

You keep whatever rights you already have in the messages, calendar entries and instructions that Replaceme processes. We claim no ownership of them. To be clear, these Terms do not give you rights in other people's messages that you did not already have — they only govern what we may do with content you put through the service.

You grant us a limited, worldwide, royalty-free licence to process that content, and to have our providers process it, only to run the service for you: to judge relevance, to write your brief, and to deliver it. That licence lasts no longer than the processing does. We do not use your content to train or evaluate AI models, and we do not sell it or share it for advertising.

We own Replaceme itself — the app, the service, our prompts, our models' configuration, our designs and our name. You own your brief once it reaches you, in the same way you own the rest of your Messages history.

If you send us feedback, we may use it to improve the product without owing you anything for it.

Suspension, termination and deleting your account

You can stop at any time: pause Replaceme from the menu bar, sign out, or delete your account from Settings → Account or by writing to support@replaceme.app. Deleting your account ends this agreement.

We may suspend or terminate your access if you breach these Terms, if your use threatens the security, integrity or availability of the service, if you deliberately drive usage past our cost limits or work around them, or if the law or a provider requires us to. We will match the response to the problem, tell you what happened where we can, and give you a chance to put it right where the problem can be put right. We may act first and explain afterwards where there is a real risk of harm.

We may also discontinue Replaceme entirely, with reasonable notice.

When this agreement ends, your licence ends and you should remove the app. Sections on content ownership, disclaimers, liability, indemnity and governing law survive.

Disclaimers, liability and indemnity

REPLACEME IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT REPLACEME WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT ANY MESSAGE WILL BE DETECTED, CLASSIFIED CORRECTLY OR DELIVERED, OR THAT ANY DEFECT WILL BE CORRECTED.

Our obligation is to make a reasonable effort to run the service as described. We give no guarantee of any outcome, and no guarantee of timing.

To the fullest extent permitted by applicable law, we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business, lost opportunities, lost or corrupted data, or loss of goodwill. In particular, we are not liable for anything arising from a message Replaceme failed to report, reported late, reported inaccurately, or reported when it should not have, or from any decision you took or did not take because of a brief or because of its absence. We are not liable for a brief being seen by someone else on a device where your Messages account is signed in.

Where liability cannot be excluded under applicable law, our total liability to you for all claims relating to Replaceme is limited to the amount you actually paid us for the service in the twelve months before the event giving rise to the claim. On the free plan that amount is zero.

Some jurisdictions do not allow certain exclusions or limitations. Where that is so, the exclusions and limitations above apply to the maximum extent that jurisdiction allows, and nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be limited.

You will indemnify us against claims, losses and reasonable costs arising from your use of Replaceme in breach of these Terms or of the law, including a claim that you were not authorised to have a particular account's communications processed.

Governing law and courts

These Terms and any dispute arising out of them or out of Replaceme are governed by the laws of the State of Israel, without regard to conflict-of-laws rules, and the competent courts of Tel Aviv-Yafo have exclusive jurisdiction.

If you are a consumer and the law of your country of residence gives you the benefit of mandatory protections or the right to bring proceedings where you live, this section does not take those away.

Assignment and successors

You may not assign or transfer this agreement.

We may assign this agreement, and transfer your account data with it, to an entity that takes over the operation of Replaceme — including a company formed to hold and run the product. We will give you notice, and the entity taking over will be bound by these Terms and by the Privacy Policy as they stand, until it gives you notice of a change. If you do not want your data to move, delete your account before the transfer takes effect.

We may also use subcontractors and service providers to run the service, as described in the Privacy Policy.

Changes to these Terms

We may update these Terms. The date at the top changes, and we will note what changed. For changes that materially affect your rights or what we do with your data, we will ask you to read and accept the new version in the app before Replaceme sends anything else.

Continuing to use Replaceme after an update means you accept the updated Terms. If you do not accept them, delete your account.

The rest

These Terms and the Privacy Policy are the whole agreement between us about Replaceme, and replace anything said before. If a provision is held unenforceable, the rest stays in force. Our not enforcing a provision is not a waiver of it. There are no third-party beneficiaries.
